Terms of Service

The following section is for The Show Portal Users and customers. Users are of two primary types and it's important to understand the differences between the two. The Show Portal offers a paid service to "Event Organizers" and a paid service to "Show Exhibitors". Event Organizers are those who create shows and manage the shows they create. Show Exhibitors are those who register for a show and pay to participate in a show, whether they are a parent or a child. We will refer to these two types of users as "Event Organizers" and "Show Exhibitors" throughout this document, while they both are "Users" of The Show Portal.

Fees & Refunds:

Pricing for Services may depend on the customization options and number of shows created as an Event Organizer. Event Organizers will set the pricing for their shows and will be responsible for collecting payments from Show Exhibitors. The Show Portal operates through Stripe, allowing Event Organizers to collect payments from Show Exhibitors. The Show Portal will not be responsible for any payments made by Show Exhibitors to Event Organizers.

The Show Portal receives a percentage of the payments made by Show Exhibitors to Event Organizers.

Event Organizers will pay The Show Portal for each show that is created. Shows are not managed by The Show Portal.

Refunds may be requested from The Show Portal by Event Organizers. Refunds to Show Exhibitors are not available through The Show Portal, and should be handled by Event Organizers.

Invoicing and Payment:

You will provide The Show Portal with valid and updated credit card information. If an alternative method of payment is offered, the User must ensure the payment method is valid. You authorize The Show Portal to charge your method of payment for all Services chosen via The Show Portal. You are responsible for providing complete and accurate billing and contact information to The Show Portal and notifying The Show Portal of any changes to your information.

Event Organizers may manage their Stripe Connect account in their account settings.

Overdue Charges:

If agreed charge amount is not received by The Show Portal by the due date, The Show Portal will limit access to your Services.

Suspension of Services:

If any amount owed by you under this agreement for our Services is more than 30 days overdue, you will be subject to suspension of Services. Suspension is not limited to cancellation and restriction of your access to any event or show created with The Show Portal. The Show Portal may alter your created data, delete your data, and retract any online access The Show Portal controls. You will be notified at least 10 days prior to any occurring action on your account.

Payment Disputes:

We will not exercise our rights under the Suspension of Services section above if you are disputing the applicable charges reasonably and in good faith and are cooperating diligently to resolve the dispute.

Limitations of Liability:

The Show Portal or its associated Users won’t be liable to you for any damages that arise from your using the Services. This includes if the Services are hacked or unavailable. This includes all types of damages (indirect, incidental, consequential, special, or exemplary). And it includes all kinds of legal claims, such as breach of contract, breach of warranty, tort, or any other loss.

If The Show Portal doesn’t exercise a particular right under these Terms, that doesn’t waive it or allow you to assume your actions are acceptable. Any questions regarding use should be directed to the support@theshowportal.com email address.

If any provision of these terms is found invalid by a court of competent jurisdiction, you agree that the court should try to give effect to the parties’ intentions as reflected in the provision and that other provisions of the Terms will remain in full effect.

Choice of Law and Jurisdiction:

These Terms are governed by Wyoming state law, without reference to its conflict of laws provisions. You agree that any suit arising from the Services must take place in a court located in Colorado Springs, CO.

These Terms (including any document incorporated by reference into them) are the whole agreement between The Show Portal and you concerning the Services.
